2. Paddle Merchant of Record Compliance

Our order checkout, payment processing, tax calculation, and billing services are managed exclusively by **Paddle** (Paddle Payments Ltd or Paddle.com Market Limited). Paddle is the **Merchant of Record** for all transactions conducted on Mintello.shop.

When you make a purchase, the payment flow is handled securely through the Paddle checkout overlay. Paddle is responsible for billing, tax compliance (including VAT/sales tax collection), fraud prevention, and handling card refunds. By placing an order, you agree to Paddle’s Terms of Use and Privacy Policy, which will be presented during checkout. The statement on your credit card or bank account will typically display "PADDLE.COM * MINTELLO" or similar.

3. Order Acceptance & Sourcing Disclosures

Seller of Record: While Paddle acts as the Merchant of Record for billing, Mintello.shop is the seller of record for the fulfillment of your order. We select, curate, and guarantee the delivery of products shown in our catalog.

Dropshipping Sourcing Model: All products are sourced from international manufacturing partners and warehouses (including AliExpress supplier networks) on a made-to-order basis. When you place and pay for an order, we manually place a matching order with our supplier to ship the item directly to your address. This means fulfillment is not instantaneous. There is an order processing and handling window of 1 to 3 business days before shipping, followed by international transit times.

Order Sourcing Failures: In rare instances, a sourced product may become unavailable or discontinued by our supplier after your payment clears. If we are unable to source the matching product, we will contact you immediately and issue a full refund to your card via Paddle within 2 business days.

4. Pricing, Currency, & Taxes

All prices are shown in US Dollars (USD) unless otherwise specified. We reserve the right to modify prices for any products without prior notice.

Prices displayed on product pages do not include customs duties or import import taxes that may be levied by the destination country's local customs authorities. Because packages are shipped internationally directly to you, **you are the importer of record** and are responsible for paying any import VAT, duties, or customs clearing fees.

5. Acceptable Use of the Site

You may not use our products or services for any unauthorized or illegal purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms, viruses, or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your access to our Service.

In no case shall Mintello.shop, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service.

Because we operate on a dropshipping model sourcing third-party manufactured goods, our liability is strictly limited to the purchase price of the items purchased. We do not manufacture these products and cannot be held liable for manufacturing defects, product safety issues, or carrier transit delays.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of **Delaware, United States**, without regard to its conflict of law provisions.
